Mr. Schwartz, a member of the firm, graduated from Penn State University with High Distinction and Honors in 1976 and Hofstra University School of Law in 1979 with Honors. Prior to joining Eiseman Levine, Mr. Schwartz practiced securities and corporate law as a partner at Olshan Grundman Frome Rosenzweig & Wolosky LLP. Mr. Schwartz has over twenty years experience in securities and corporate law with particular emphasis on corporate finance, including public and private offerings, securities law compliance for public companies (Sarbanes Oxley), mergers and acquisitions, venture capital financings for both venture capital firms and issuers, broker-dealer matters and general representation of closely-held companies including joint venture and partnership agreements, license and distribution agreements and stockholder and employment agreements. In addition, Mr. Schwartz has extensive experience in securities arbitrations, including those involving Madoff investments and complex derivative securities, having achieved multi-million dollar recoveries for clients. Mr. Schwartz successfully represented 24 international clients with respect to multi-million dollar arbitration claims against an international bank for sale of a Madoff feeder fund. |

Mr. Duffy joined Eiseman Levine in 2004. He has practiced in the fields of corporate and real estate law since 1984. During his career, Mr. Duffy has worked on a wide range of corporate, franchising/distribution, securities and real estate matters, both in law firms and as in-house counsel. His clients have included, among others, distributors, software companies, franchisees, franchisors, brokerage firms and private equity funds. Mr. Duffy has been a member of the bar of the State of New York since 1985. He received a J.D. degree from Fordham University School of Law in 1984, and a Bachelor of Arts degree (Magna Cum Laude) from Fordham University in 1981. |
